Terms & Conditions

Effective — add date Last updated — add date Version 1.0
Before you enrol

These terms govern your use of the FormedPower website and learning platform, and the purchase of any diagnostic, course or consultancy service from us. By creating an account, booking a diagnostic or enrolling on a course, you accept them.

Three points matter most: accounts are individual and non-transferable, course materials remain our intellectual property and may not be reproduced or used to train others, and completion of a course certifies attendance and assessed understanding — it does not itself confer any operational authorisation on a site.

01

Who these terms are with

These terms are between you and FormedPower, the trading name of [legal entity name], a company registered in Ireland under company number [number] with its registered office at [registered address] ("we", "us"). Where you enrol as an individual, you are the contracting party. Where an employer or sponsor purchases training on your behalf, the contract for supply is with that organisation, and these terms apply to you as a permitted user of the platform.

Nothing in these terms affects the statutory rights of a consumer under Irish or EU consumer law.

02

What we provide

We provide safety and isolation consultancy, including Certified Senior Authorised Person (SAP) and Authorised Person support, and leadership assessment and development services delivered through our learning platform. The platform is built on WordPress with the LearnDash learning management system.

Consultancy and site services — supplied under a separate written engagement or purchase order, which takes precedence over these terms where the two conflict.
The leadership diagnostic — a paid behavioural assessment comprising an online instrument, a scored profile and a live debrief, concluding in a recommended course track.
Online and blended courses — self-paced and instructor-led course content, quizzes, assignments and certificates delivered on the platform.
In-person and on-site training — delivered at a location and on dates agreed in writing.
03

Your account

You must provide accurate registration details and keep your login credentials confidential. Accounts are personal and non-transferable: one account, one named learner. You are responsible for all activity under your account.

Credential sharing is treated as a material breach. Because a course completion record is a competency record, an account used by more than one person destroys the evidential value of everything recorded against it. Where we detect shared access we may suspend the account, void affected completions and certificates, and charge for any additional seats actually used.

Where an employer administers a group, the employer's nominated administrator may enrol, unenrol and view progress for learners in that group.

04

Enrolment and access

Enrolment is complete when payment has been received and your account has been granted access to the relevant course, or when we confirm enrolment in writing under an employer agreement. Access runs for the period stated at the point of purchase — [access period] from enrolment unless otherwise agreed — after which course content is withdrawn.

Certificates you have already earned remain available to you after access ends, and we retain the underlying completion record in line with our Privacy Policy.

We may update course content, sequencing and assessment during your access period to maintain currency with legislation, standards and CPD requirements. We will not reduce the substance of what you purchased.

05

The diagnostic and course placement

The diagnostic fee covers the assessment instrument, your written behavioural profile and a debrief of the stated duration. The output is a recommended course track. Placement is a professional recommendation based on your assessed behaviours; it is reviewed by a human assessor and confirmed with you before it takes effect, and you may request a different track.

You must complete the assessment yourself and without assistance. Results obtained through collusion, impersonation or use of another person's responses are void and non-refundable.

The diagnostic is an occupational development tool. It is not a psychometric, clinical or psychological assessment, not a measure of employability, and must not be used as the sole basis for a recruitment, promotion or disciplinary decision.

06

Fees and payment

Prices are shown at the point of purchase in euro and are inclusive or exclusive of VAT as stated. Payment for diagnostics and online courses is due in full before access is granted. Card payments are handled by our payment processor; we do not store card details.

For invoiced engagements, payment terms are [30] days from invoice date unless otherwise agreed in writing. We may charge interest on overdue amounts at the statutory rate and suspend platform access while an account is in arrears.

07

Cancellation, refunds and rescheduling

Where you buy as a consumer, you normally have a 14-day right to cancel a distance contract. Because digital course content is supplied immediately, you agree that by accessing course material within the cancellation period you consent to immediate supply and acknowledge that you lose the right to cancel once access has begun. Until you first access the content, a full refund is available on request.

Notice given Outcome
Before first access Full refund of the course or diagnostic fee.
After first access No refund; access continues for the remainder of the period.
Scheduled session — 10+ working days Reschedule at no charge, or full refund.
Scheduled session — 5 to 9 working days Reschedule at no charge; refunds at 50%.
Scheduled session — under 5 working days Fee payable in full; one reschedule at our discretion.
Cancelled by us Reschedule or full refund, at your choice.
08

Acceptable use

You may use the platform only for your own learning. You must not attempt to circumvent access controls, scrape or bulk-download content, upload malicious files, or interfere with the operation of the platform or the experience of other learners.

No redistribution — you may not copy, record, screenshot for distribution, republish or resell course content, quiz banks or assessment materials.
No derivative training — you may not use our materials to develop or deliver training to others, whether commercially or internally, without a written licence from us.
No impersonation — you may not complete assessments on behalf of another learner or allow another person to complete yours.
Respectful participation — in cohort sessions, group discussions and coaching, abusive or discriminatory conduct will result in removal without refund.
09

Intellectual property

All course content, assessment instruments, the Dynamic Direct Leadership framework and its associated models, templates, permit and Safe Systems of Work documentation, and the FormedPower name and marks remain our property or that of our licensors.

On enrolment we grant you a personal, non-exclusive, non-transferable, revocable licence to access and use the content for your own learning for the duration of your access period. Downloadable resources provided for operational use on your own site may be used internally for that purpose; they may not be resold, rebranded or distributed outside your organisation.

You retain ownership of work you submit — assignments, reflections and uploads. You grant us a licence to store, mark and retain that work for assessment, certification and audit purposes.

10

Assessment, certification and CPD

Certificates are issued automatically on satisfactory completion of the required lessons and assessments at the pass mark stated in the course. A certificate records attendance and assessed understanding on a given date. It is not a licence, and it does not by itself authorise you to carry out any task on any site.

Appointment as an Authorised Person or Senior Authorised Person is made by a duty holder under their own safety rules, and remains their decision. Our training supports that appointment; it does not replace it.

Where a course is CPD-certified, the certificate states the CPD hours attributed to it. We may verify a certificate's authenticity at the request of an employer or accrediting body. We may withdraw a certificate obtained through misrepresentation or breach of section 08.

11

Platform availability and support

We aim to keep the platform available at all times but do not guarantee uninterrupted access. Planned maintenance is scheduled outside Irish business hours where practicable, and notified in advance for anything expected to exceed a short interruption.

Support enquiries should be sent to admin@formedpower.com. We aim to respond within one working day. Where a fault on our side prevents access for a material period, we will extend your access period by at least the time lost.

12

Liability

We provide our services with reasonable skill and care. Our total liability arising out of or in connection with these terms is limited to the fees you paid for the service in question in the twelve months preceding the claim.

We are not liable for indirect or consequential loss, loss of profit, loss of contract, or programme delay costs. In particular, we are not liable for operational decisions taken on site: responsibility for isolation, energisation and permit decisions rests with the duty holder and the appointed persons, informed by their own safety rules and risk assessment.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be limited.

13

Suspension and termination

We may suspend or terminate your access where you breach these terms materially, where fees remain unpaid after written notice, or where continued access presents a security or safety risk. Where termination is for your breach, no refund is due.

You may close your account at any time by writing to us. Closing an account does not entitle you to a refund of fees already paid, and does not remove completion or certification records we are required to retain.

14

Third-party services

The platform relies on third-party software and services, including the learning management system, payment processing, video hosting and email delivery. Their availability is outside our control. Where content links to an external resource, we are not responsible for that resource's content or its terms.

15

Changes to these terms

We may amend these terms to reflect changes in our services, the platform or the law. The version and date at the top of this page reflect the current version. Amendments apply to purchases made after the effective date; where a change materially affects an active enrolment, we will notify you before it takes effect and you may terminate and receive a pro-rata refund of unused access if you do not accept it.

16

Governing law and disputes

These terms are governed by the laws of Ireland, and the courts of Ireland have exclusive jurisdiction, save that a consumer may bring proceedings in the courts of their place of residence where EU law so provides.

Before starting proceedings, we ask that you raise the matter with us in writing so that we can attempt to resolve it directly. Consumers may also use the European Online Dispute Resolution platform.
